Is Panda II compatible with the WiFly Shield?

It will work but will be a bit slow. Sparkfun shield uses a SPI to UART bridge because arduino only has one serial port. Panda has 4 serial ports and it is best if WiFly is connected to a UART directly.

Another option is to use XBee-formfactor wifly with xbee shield so you are using UART. Or best, just get a breakout with wifi and wire it to one of the UARTs.

If I understand correctly, FEZ Cerbuino Bee need for WiFi only XBee Module (http://www.phenoptix.com/index.php/adafruit-xbee-module-wireless-communications-for-arduino-1mw-1-mile-radius.html) and that work without one problem.
